These Terms and Conditions of Sale (“Terms of Sale”) apply to all purchases of Kaneka North America LLC (“Kaneka,” “Company,” “we,” “us,” or “our”) and/or Third-Party products advertised or sold in the United States through this Site (“Products”).
BY PLACING AN ORDER ON THIS SITE, YOU AGREE TO THESE TERMS OF SALE. If you have already placed your order and do not want to be bound by these Terms of Sale, you must either cancel your order or return your purchase in accordance with the Return Section below
PLEASE READ THIS DOCUMENT CAREFULLY. IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS, OBLIGATIONS, LIMITATIONS OF KANEKA’S LIABILITY, AND EXCLUSIONS FROM COMMON LAW WARRANTIES. PER THE ACCOMPANYING TERMS OF USE, THESE TERMS OF SALE ARE SUBJECT TO BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. IF YOU DO NOT AGREE WITH THESE TERMS OF SALE, DO NOT ORDER OR KEEP PRODUCTS FROM THIS SITE.
1. Terms of Use and Privacy Policy.
These Terms of Sale, your use of the Site, and the protection and use of your personal information are also governed by Kaneka’s Terms of Use (Terms of Use) and Privacy Policy (Privacy Policy).
BY MAKING A PURCHASE ON THIS SITE YOU AGREE TO KANEKA’S TERMS OF USE AND PRIVACY POLICY.
2. Orders, Pricing and Payments.
You must be 18 years of age to purchase Products on this site.
An order made through the Site is accepted upon receipt of payment by Kaneka. All payments will be processed upon receipt. Payment shall be made using an accepted credit card or debit card. Kaneka may process payment for parts of an order separately. All prices provided on the Site are in United States dollars (USD) and are subject to change. Pricing is based on the Manufacturer’s Suggested Retail Price (MSRP) or as otherwise stated at time of purchase.
Kaneka strives to communicate accurate pricing and product information but will not be held responsible for any pricing, typographical, or other errors on this Site. If an error in price is identified where you were undercharged, Kaneka will contact you and offer you the opportunity to submit the balance or cancel the order. If you are entitled to a refund, one will be applied back to your debit or credit card.
Unless you provide Kaneka with a valid tax exemption certificate applicable to your purchase of Product and the Product ship-to location, you are responsible for sales and other taxes that may be associated with the order.
Your order is subject to cancellation by Kaneka, at Kaneka’s sole and absolute discretion. If your order is canceled, you will be provided with a full refund. Kaneka reserves the right to reject an offer for purchase for any reason permitted by law, including, but not limited to:
- Circumstances that may limit or otherwise restrict Kaneka’s ability to fulfil an order, including technical, hardware, or miscellaneous software malfunctions, viruses, or network or electronic malfunctions of any kind.
- Human error regarding promotions, offers, or sales.
- Suspected fraud or other circumstances suggesting a violation of applicable law or these Terms of Sale.
Kaneka reserves the right to modify, suspend, or terminate any and all promotions at our sole and absolute discretion. All purchases made before the modification, suspension, or termination of a promotion or offer will be honored.
3. Shipping.
Product title and risk of loss pass to you when the Product is shipped.
Kaneka offers free standard ground shipping to locations within the United States when you purchase a product on our Site. At checkout, customers may elect to pay an additional fee for expedited shipping and handling, at which point details regarding shipping times and fees will be provided. All delivery times are estimates and cannot be guaranteed as they are subject to forces outside of Kaneka’s control. As circumstances require, Kaneka may process payment for and ship parts of an order separately.
This Site only accepts orders from and ships products within the continental United States, Alaska and Hawaii.
Our Satisfaction Promise
We will issue you a refund of the purchase price you paid for the product if you are not completely satisfied with your purchase made through this Site. To initiate the refund process, you must request a Return Authorization (RA) number within sixty (60) days of purchase by using this (link). Following receipt of your request, we will send you an email with your RA number and the address of our warehouse to which any remaining product must be returned. When you ship the remaining product to our warehouse, make sure that the RA number is prominently displayed inside the package. Returns without an RA number will not be processed. Purchasers are responsible for the cost of shipment associated with returning a Product, unless otherwise agreed to by Kaneka. Kindly allow up to fifteen (15) business days (after we’ve received your package) for funds to be credited to your debit or credit card.
Once the return process is initiated, you may cancel it by responding to the email providing the RA number and notifying us that you would like to cancel the return. If you fail to ship the returned Product within thirty (30) days of receiving your RA number, the return authorization will be cancelled.
We reserve the right to deny a refund request if we believe our return policy is being abused.
5. Product Availability.
We strive to keep our inventory up to date and ensure that all listed products are available for purchase. However, product availability is not guaranteed and is subject to change without notice. If a Product is out of stock, we will not accept any orders for that Product. If an order for an out-of-stock item is accepted in error, we will provide you with a refund of the purchase price and may suggest an alternative product.
We reserve the right to discontinue or modify products at any time without prior notice.
6. Product Descriptions.
We make every effort to ensure that our product descriptions, images, and other details are accurate, complete, and up-to-date. However, we do not guarantee that product descriptions, images, or other details are error-free, complete, or current.
In the event of an error, including but not limited to a typographical error or incorrect product description, we reserve the right to correct the error and update the information accordingly. If you have already placed an order for a product with a description that contains a material error (i.e., an error that may have impacted your decision to purchase the Product), we will notify you of the error as soon as possible, provide you with the option to proceed with your order with the corrected information, or cancel your order for a full refund of the purchase price and any shipping fees that were paid.

7. Subscription/Auto-Ship Program.
Customers that choose to subscribe to recurring shipments (a “Subscription”) will have their order automatically renewed at the desired monthly (every 30 days) or bi-monthly (every 60 days) interval. To enroll in a Subscription, you will need to create an account on the Site, select the desired product(s) and quantity, choose the frequency of renewal, provide payment information for automatic billing, and affirmatively indicate you understand the terms of your selected Subscription, which will be provided to you at the point of purchase. Such terms will include that you will be charged for the requested goods on a recurring basis until the Subscription is canceled, the day of the month on which the Subscription will renew, the amount that will be charged to your credit or debit card upon renewal, and the information necessary to cancel the Subscription.
Recurring orders will be automatically placed according to the selected interval, at which time payment will be billed to the credit or debit card used to create your Subscription and your order will be shipped. You may modify your payment method at any time. Subscribers may modify or cancel their Subscription at any time prior to the renewal date for the next order. We may, in our sole and absolute discretion, terminate your Subscription(s) at any time without notice to you. If we do so, you will only be charged for orders that have been shipped to you.
Kaneka reserves the right to change any Subscription benefits, including the discount amounts, at any time in its sole discretion. Some of the offer details may change as you receive deliveries over time (for example, price, taxes, availability, and shipping charges). Kaneka will provide notice of any material change, including but not limited to a change in the renewal date, prices, fees, or product availability, seven (7) to thirty (30) days before any such changes will take effect, including instructions on how to cancel or modify your Subscription if you so choose. If you elect for expedited shipping as a part of your Subscription, please note that shipping fees may vary, and your credit or debit card will be charged according to current shipping rates.
You may modify or cancel your Subscription at any time by logging into your account.
8. Purchases May Not Be Resold.
Your purchase is for your own use, and you agree that you will not resell any Product.
9. Warranties.
EXCEPT FOR EXPRESS WARRANTIES PROVIDED HEREIN OR DOCUMENTATION KANEKA PROVIDES WITH A PRODUCT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KANEKA DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE PRODUCTS AVAILABLE ON THIS SITE, INCLUDING THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. ANY THIRD-PARTY WARRANTIES ARE PROVIDED BY SUCH THIRD-PARTY AND ARE NOT GUARANTEED BY KANEKA. SOME STATES DO NOT ALLOW LIMITATIONS OF IMPLIED WARRANTIES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
10. Limitation of Liability.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, TO THE FULLEST EXTENT PERMITTED BY LAW, KANEKA WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR ANY OTHER DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. YOU AGREE THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCT, KANEKA IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AMOUNT INVOICED FOR THE APPLICABLE PRODUCT. SOME JURISDICTIONS MAY NOT ENFORCE ALL OF THESE LIMITATIONS, AND ONLY THE LIMITATIONS THAT ARE LAWFULLY APPLIED TO YOU IN YOUR JURISDICTION WILL APPLY.
11. Updates to Terms of Sale.
Kaneka reserves the right at its sole discretion to modify these Terms of Sale at any time without notification to you. It is your responsibility to periodically check the Terms of Sale for any updates. Please review these Terms periodically to ensure you are familiar with the most recently posted Terms which are effective upon posting on this Site. By using the site, you agree to be bound by the most recently posted Terms.
